Terms of Service
Last updated October 29, 2026
These Terms of Service ("Terms") govern your access to and use of Presap, including the website at https://presap.com and the application at https://app.presap.com (the "Service").
Please read these Terms carefully. They include an automatic renewal of paid subscriptions (section 10), limits on our liability (section 20), and an agreement to resolve disputes by binding individual arbitration and to waive class actions and jury trials (section 22), from which you can opt out.
1. Agreement, eligibility and other documents
These Terms are a binding agreement between Coi, Hacarmel 12, Ganne Tikva, Israel ("Presap", "we", "us") and the business or organization that creates a workspace or subscribes to the Service ("Customer", "you"). You accept them by creating an account, starting a trial, subscribing or using the Service.
- The Service is for businesses only. You use it for purposes related to your trade, business or profession, not for personal, family or household purposes.
- The person who accepts these Terms must be at least 18 years old and confirms that they are authorized to bind the Customer.
- These Terms include our Acceptable Use Policy, our Refund Policy and our Data Processing Addendum. Our Privacy Policy explains how we handle personal data. If these documents conflict, the Data Processing Addendum prevails on the processing of personal data, and otherwise these Terms prevail.
2. The Service
Presap helps businesses manage their own Google Business Profiles: it syncs reviews and drafts replies, creates and schedules posts, manages photos, suggests profile improvements, shows performance insights, and lets owners handle reviews and posts by email, across one or more locations. Nothing is published to a profile without the owner's approval or an automation setting the owner has switched on. Features and limits depend on your plan, as described on our pricing page.
3. Accounts, workspaces and roles
- You must give accurate information, keep it up to date, and keep your sign-in details secure. Accounts are personal: each user needs their own.
- A workspace is the unit of billing and access. Workspace owners can invite members and assign roles (owner, admin, editor, viewer). You are responsible for the people you invite, the permissions you give them and all activity in your workspace.
- Tell us promptly at [email protected] if you suspect unauthorized access.
4. Google Business Profile access
- To use the Service you connect a Google account and grant it access to the Business Profile locations you choose. You confirm that you are authorized to manage those locations and you authorize us to act on your behalf for them — including reading reviews and profile data and publishing replies, posts, photos and profile changes — in line with the settings and approvals you give.
- Automatic actions only with your consent. The Service replies to reviews, publishes posts or changes profile information on its own only after you have given your specific and express consent by switching on the corresponding setting for the locations and ratings you choose (for example automatic replies to 5-star reviews, or a post preview that publishes after a delay). Otherwise it publishes only what you approve. You can switch automation off at any time.
- Every change the Service makes to your profiles is shown in the app's activity log when it happens, so you are informed of it within 48 hours at the latest. If you stop using the Service, you can disconnect your locations in the app at any time; if you ask us to, we will disconnect them and stop all access within 7 business days.
- You remain responsible for complying with Google's Terms of Service and the Google Business Profile policies that apply to your profiles, including its content and review policies.
- We access Google data under the Google API Services User Data Policy, as described in our Privacy Policy. You can disconnect a location in the app, and revoke our access at any time in your Google account.
- Presap is an independent product. It is not affiliated with, endorsed or sponsored by Google. Google may change, limit or discontinue its APIs or suspend a profile at any time, which may affect the Service; we are not responsible for Google's actions.
5. Your content
- You keep all rights in the content you provide, the data we receive from your Business Profiles, and the content created for you in the Service, including AI output, to the extent the law allows ("Customer Content").
- You grant us a worldwide, non-exclusive, royalty-free license to host, copy, process, transmit and display Customer Content solely to provide, secure and support the Service for you, including publishing it to Google when you or your settings instruct us to.
- You confirm that you have all rights and permissions needed for the content and images you upload or publish, including the consent of people shown in photos where the law requires it.
- We do not use Customer Content or Google data to train generalized AI models.
- Staff access. Our staff view your workspace, including data received from Google, only when you ask us for help and agree to it (for example in a support request), when it is necessary for security or to investigate abuse, or to comply with the law. Access through our admin tools is logged.
6. AI features
- The Service uses artificial intelligence, provided by Google's Gemini API, to draft review replies, posts, descriptions and images. AI output can be inaccurate, incomplete, inappropriate or similar to output created for others, and it is not legal, financial or other professional advice.
- You are responsible for everything published to your Business Profiles, including content published automatically under rules you switched on (such as automatic replies for chosen ratings, or a preview that publishes after the delay you chose). Review drafts before you approve them, choose your automation settings carefully, and switch automation off whenever you want.
- You are responsible for the instructions and material you give the AI, such as notes, change requests, photos and replies to the email assistant, and for checking that the result is accurate before it is published.
- Images generated by AI are marked as such in the Service. Do not present them as real photos of your business, or present AI-written text deceptively as written by a person.
- You must not use the Service or its output to develop or train a competing AI model or product.
7. Email assistant
- If the email assistant is switched on for you, we email you about reviews and posts and act on your replies and on the buttons in those emails, such as approving a reply, sending a photo or pausing post requests. A reply or button press from your email counts as your instruction.
- Keep access to your mailbox secure and do not forward assistant emails: their links and reply addresses act on your behalf.
- Assistant emails are part of the Service. You can turn them off at any time in your settings or with the link in each email.
8. Acceptable use
You must follow our Acceptable Use Policy. In particular, you must not use the Service to post fake reviews, offer incentives for reviews, solicit only positive reviews or suppress negative ones, publish misleading or unlawful content, access locations you are not authorized to manage, or interfere with the Service. You must comply with all laws that apply to your business and to messages you send your customers.
We may refuse to generate or publish, or remove from the Service, content that we reasonably believe violates the Acceptable Use Policy, the law or Google's policies, and switch off automation for the locations concerned.
9. Free trial
New workspaces include a free trial of 14 days. No payment details are needed to start it, and a trial never turns into a paid subscription by itself: when it ends, paid features stop until you choose a plan. Your data is kept so you can continue where you left off.
10. Subscriptions, automatic renewal, payment and taxes
Our order process is conducted by our online reseller Paddle.com. Paddle.com is the Merchant of Record for all our orders. Paddle provides all customer service inquiries and handles returns.
AUTOMATIC RENEWAL: PAID SUBSCRIPTIONS RENEW AUTOMATICALLY AT THE END OF EACH BILLING PERIOD (MONTHLY OR YEARLY, AS YOU CHOSE) FOR THE SAME PERIOD, AND THE PAYMENT METHOD ON FILE IS CHARGED THE THEN-CURRENT PRICE OF YOUR PLAN AND EXTRA LOCATIONS, PLUS APPLICABLE TAXES, UNTIL YOU CANCEL. YOU CAN CANCEL ONLINE AT ANY TIME IN THE APP (BILLING, MANAGE BILLING); CANCELLATION TAKES EFFECT AT THE END OF THE CURRENT BILLING PERIOD.
- Subscriptions are billed in advance in U.S. dollars. Prices are shown on our pricing page and at checkout, where you see the full price, billing period and renewal terms before you pay.
- Your purchase is also subject to Paddle's buyer terms. Paddle calculates and collects applicable sales tax, VAT or similar taxes; prices on our website exclude tax unless stated otherwise. Paddle sends receipts and invoices.
- If you change plan or add locations during a billing period, the price difference is prorated and charged or credited immediately.
- For yearly plans we send a reminder by email before the renewal date where the law requires it.
- We may change prices for future billing periods with at least 30 days' notice by email. The new price applies from your next renewal after the notice period; you can cancel before then.
- If a payment fails, Paddle may retry it and we will notify you; the subscription becomes past due. If the payment is not resolved within a reasonable grace period, we may limit paid features or cancel the subscription.
- Fees are non-refundable except as described in our Refund Policy or required by law.
11. Cancellation and refunds
You can cancel at any time in the app (Billing, Manage billing). Cancellation takes effect at the end of the current billing period: you keep access until then and are not charged again. New subscriptions come with a 14-day money-back guarantee on the first payment, as described in our Refund Policy. Please contact us before disputing a charge with your bank, so we can resolve it.
12. Availability, support and changes
- We work to keep the Service available and secure, but we do not guarantee that it will be uninterrupted or error-free, and we offer no service level unless agreed in writing.
- Support is provided by email at [email protected] on business days.
- We may carry out maintenance, and change, add or remove features. If we remove a material feature of a paid plan, we will give reasonable notice and you may cancel and receive a prorated refund of prepaid fees for the remaining period.
- Features marked as beta or preview are provided as they are, may change or be withdrawn, and are excluded from any commitments.
13. Third-party services
The Service works with services we do not control, including Google (Business Profile, sign-in and Gemini) and Paddle (payments). Your use of them is subject to their own terms and privacy policies, such as the Google Terms of Service and the Google Privacy Policy. We are not responsible for third-party services, their availability or their changes.
14. Intellectual property and feedback
- We and our licensors own the Service, its software, design and trademarks. Subject to these Terms and your plan, we grant you a limited, non-exclusive, non-transferable, non-sublicensable right to use the Service for your business during your subscription or trial. All rights not expressly granted are reserved.
- If you give us feedback or suggestions, we may use them freely without obligation to you.
- We may use aggregated and de-identified data about the use of the Service, which does not identify you, your locations or any individual, to operate and improve the Service.
15. Copyright complaints (DMCA)
We respect intellectual property rights and respond to notices of alleged infringement under the Digital Millennium Copyright Act (17 U.S.C. § 512). If you believe content stored or published through the Service infringes your copyright, send our designated agent a notice that includes:
- your physical or electronic signature;
- identification of the copyrighted work you claim is infringed;
- identification of the material you claim is infringing and information reasonably sufficient for us to locate it;
- your name, address, telephone number and email address;
- a statement that you have a good faith belief that the use is not authorized by the copyright owner, its agent or the law; and
- a statement, under penalty of perjury, that the information in the notice is accurate and that you are the copyright owner or authorized to act on its behalf.
Designated agent: Copyright Agent, Coi, Hacarmel 12, Ganne Tikva, Israel; telephone +972-77-4030-474; email [email protected] (subject line "DMCA notice").
If your content was removed and you believe that was a mistake or misidentification, you may send a counter-notice with the information required by 17 U.S.C. § 512(g)(3). We may restore the content unless the complainant tells us within 10 business days that it has filed a court action. In appropriate circumstances we terminate the accounts of repeat infringers. Content that is published on Google is also subject to Google's own procedures.
16. Confidentiality
Each party will protect the other's non-public business, technical and customer information that it receives under these Terms with reasonable care, and use and disclose it only to perform under these Terms. This does not apply to information that is or becomes public through no fault of the receiving party, was already known to it, is independently developed, or must be disclosed by law (with notice to the other party where the law allows).
17. Privacy and data protection
Our Privacy Policy explains how we handle personal data. Where we process personal data on your behalf (for example reviewer data from your Business Profiles), we act as your processor and service provider under our Data Processing Addendum, which applies automatically. You are responsible for the notices and consents your business needs for the personal data you bring into the Service.
18. Suspension, termination and your data
- You may stop using the Service, cancel your subscription and delete your workspace at any time.
- We may suspend the Service, automatic publishing, or affected features immediately if you breach these Terms or the Acceptable Use Policy, if your use risks harm to others, the Service or our relationship with Google, if payment is overdue, or if the law requires it. We will tell you why unless the law prevents it, and restore access once the issue is resolved.
- We may terminate these Terms for material or repeated breach, or with 30 days' notice for any other reason, in which case we refund prepaid fees for the period after termination.
- Owners and admins can export workspace data in the app at any time before deletion. When a workspace is deleted, its data is removed as described in our Privacy Policy. We may delete a workspace that has had no active trial or subscription for 12 months, after giving its owners 30 days' notice by email.
- Sections that by their nature should survive termination survive, including those on fees owed, intellectual property, confidentiality, disclaimers, liability, indemnification, dispute resolution and governing law.
19. Disclaimer of warranties
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICE, INCLUDING ALL AI OUTPUT, IS PROVIDED "AS IS" AND "AS AVAILABLE", AND WE DISCLAIM ALL WARRANTIES, WHETHER EXPRESS, IMPLIED OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE AND NON-INFRINGEMENT, AND ANY WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE OR ERROR-FREE, THAT AI OUTPUT WILL BE ACCURATE OR APPROPRIATE, THAT GOOGLE WILL ACCEPT OR KEEP ANY CONTENT, OR THAT THE SERVICE WILL ACHIEVE ANY RESULT, SUCH AS A HIGHER RATING, BETTER SEARCH RANKING OR MORE CUSTOMERS.
20. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW: (A) NEITHER PARTY WILL BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, GOODWILL, BUSINESS OPPORTUNITY OR DATA, HOWEVER CAUSED AND EVEN IF ADVISED OF THEIR POSSIBILITY; AND (B) EACH PARTY'S TOTAL LIABILITY ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE WILL NOT EXCEED THE GREATER OF THE AMOUNTS PAID OR PAYABLE BY YOU FOR THE SERVICE IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR US$100.
These limits do not apply to your obligation to pay fees, to your indemnification obligations, to your breach of the Acceptable Use Policy, or to liability for fraud, gross negligence or willful misconduct, or any other liability that cannot be limited by law. They apply to all theories of liability, including contract, tort (including negligence) and statute.
21. Indemnification
You will defend, indemnify and hold harmless Coi and its officers, employees and agents from and against any third-party claims, and the resulting losses, damages, fines and reasonable legal fees, arising from: content published or sent through your workspace (including content published under automation rules you switched on); your review solicitation practices and messages to your customers; your breach of these Terms, the Acceptable Use Policy, Google's terms or policies, or applicable law; or a claim that Customer Content infringes someone's rights. We will notify you promptly of a claim, let you control the defense (you may not settle a claim that imposes obligations on us without our consent), and cooperate at your expense.
22. Dispute resolution and arbitration
- Informal resolution first. Before starting a proceeding, a party must send the other a written notice describing the dispute and the relief sought (to us at [email protected]). The parties will try in good faith to resolve it within 30 days.
- Binding arbitration. Any dispute, claim or controversy arising out of or relating to these Terms or the Service that is not resolved informally will be resolved by final and binding arbitration administered by the American Arbitration Association under its Commercial Arbitration Rules (or, where the parties are in different countries, by its International Centre for Dispute Resolution under its International Arbitration Rules), before a single arbitrator. The arbitration will be conducted in English and may be held by video conference; any in-person hearing will take place in the county of your principal place of business, unless the parties agree otherwise. Judgment on the award may be entered in any court with jurisdiction. The Federal Arbitration Act governs this section.
- Class action and jury trial waiver. Claims may be brought only on an individual basis, not as a plaintiff or class member in any purported class, collective, consolidated or representative proceeding, and the arbitrator may not consolidate claims or award relief on behalf of others. EACH PARTY WAIVES ITS RIGHT TO A JURY TRIAL. If this waiver is found unenforceable for a claim, that claim will be heard in court and not in arbitration.
- Exceptions. Either party may bring an individual claim in small claims court, and either party may seek injunctive or other equitable relief in court to protect its intellectual property or confidential information, or to stop unauthorized use of the Service.
- Opt-out. You may opt out of this arbitration agreement by emailing [email protected] within 30 days after you first accept these Terms, with your workspace name and a statement that you opt out of arbitration.
- Any claim must be brought within one year after it arises, unless a longer period is required by law.
23. Governing law
These Terms are governed by the laws of Israel, without regard to conflict-of-laws rules, except that the Federal Arbitration Act governs section 22. The United Nations Convention on Contracts for the International Sale of Goods does not apply. For any claim that may be brought in court under these Terms, the parties submit to the jurisdiction of the courts of Israel, without limiting a party's right to enforce a judgment or arbitral award elsewhere.
24. Export controls and sanctions
You may not use or allow access to the Service in violation of U.S. or other applicable export control and sanctions laws. You confirm that you and your users are not located in a country or region subject to comprehensive U.S. sanctions, and are not named on, or owned or controlled by anyone named on, a U.S. government restricted-party list.
25. General terms
- Electronic communications. You agree that we may communicate with you electronically, including by email and in the app, and that electronic notices and agreements satisfy any requirement that they be in writing. Notices to you go to the workspace owners' email addresses.
- Assignment. You may not assign these Terms without our consent. We may assign them to an affiliate or in connection with a merger, acquisition or sale of assets, with notice to you.
- Force majeure. Neither party is liable for a delay or failure caused by events beyond its reasonable control, such as outages of third-party services, internet failures, natural disasters, war or acts of government (this does not excuse payment obligations).
- Relationship. The parties are independent contractors. These Terms create no partnership, agency or employment, and no third-party beneficiaries.
- Entire agreement. These Terms and the documents they include are the entire agreement on their subject and supersede prior agreements on it. Terms on your purchase orders do not apply.
- Severability and waiver. If a provision is unenforceable, it will be enforced to the maximum extent possible and the rest remains in effect. Not enforcing a provision is not a waiver.
- Language. These Terms are written in English, which is the binding version. Translations are for convenience only.
26. Changes to these terms
We may update these Terms. For material changes we will notify workspace owners by email or in the app at least 30 days before they take effect, unless a change is required sooner by law or for security. Continued use after a change takes effect means you accept it; if you do not agree, you may cancel before it applies and receive a prorated refund of prepaid fees for the remaining period. Changes do not apply to disputes already notified under section 22.
